These terms are an agreement between you and [Company legal name] ("Pilson," "we," "us") for use of the Pilson website and app. By creating an account or opening a file, you agree to them. If you use Pilson for a brokerage or team, you confirm you can bind that business to these terms.
Who can use Pilson
Pilson is for real estate licensees and the brokerages and teams they work for. You must be at least 18, hold any license your work requires and work under a supervising broker where your state requires one.
What Pilson does
Pilson helps you coordinate transactions. It reads documents you provide, calculates deadlines, sends you reminders, drafts emails and texts for your approval, and organizes files and contacts. Pilson is a software tool. It isn't a licensed real estate broker, a law firm, an escrow or title company, or a substitute for your professional judgment. See the disclaimer.
Your responsibilities
- Review what Pilson reads from each contract, including the acceptance date and every deadline, before relying on it.
- Review and approve every message before it's sent. You're responsible for messages sent from your account.
- Have the right to upload the documents you provide and to contact the parties you message, including getting consent for texts where the law requires it.
- Follow the laws and rules that apply to you, including your state's real estate rules, record-keeping rules and anti-spam and texting laws.
- Keep your sign-in secure and tell us right away about unauthorized use.
Acceptable use
Don't use Pilson to break the law, send spam, harass anyone, upload malware, get into other accounts, copy or resell the service, or reverse engineer it except where the law allows.
Fees and payment
Pilson costs $100 per transaction for individual agents, charged when you open a file, unless a written agreement with your team or brokerage says otherwise. Prices don't include taxes. Fees are non-refundable except as required by law or as described in [refund policy]. We may change prices for future files with notice.
Your content
You own the documents and information you put into Pilson. You give us permission to host, process and transmit it only to provide and improve the service for you, as described in our privacy policy.
Connected services
Integrations with tools such as zipForm, SkySlope, dotloop, DocuSign, Gmail, Outlook, Google Calendar, Google Drive, Dropbox, Follow Up Boss and Twilio are provided under those companies' own terms. We aren't responsible for their services, and an integration may change if they change their products. Names and logos of other companies belong to their owners and don't imply endorsement.
Availability and changes
We work to keep Pilson running but don't promise it will be uninterrupted or error free. We may add, change or remove features. If we make a material change to these terms, we'll give you notice before it takes effect.
Ending your use
You can close your account at any time. We may suspend or end access if you break these terms or if required by law. After closing, you can export your files for [export period], subject to the record-keeping periods in our privacy policy.
Disclaimer of warranties
Pilson is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we don't warrant that dates, extracted facts or drafts will be accurate or complete.
Limitation of liability
To the extent the law allows, we won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, commissions or deals, including losses from a missed deadline or an incorrect date. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.
Indemnity
You'll defend and hold us harmless from claims arising from your content, the messages you send, your transactions or your breach of these terms or the law.
Disputes
These terms are governed by the laws of [state], without regard to conflict-of-law rules. [Dispute resolution: courts of [county, state] or binding arbitration, to be decided with counsel.]
